well, i have $40 for xmas, and im in milwaukee, and the Koss factory is like a 2 min drive from me, and their warranty is great, so Koss is good...
but i want really good sounding, passive noise cancellation.... any one know of specific product numbers i should look for?

Koss have actually made some incredible budget 'phones - notably the KSC-35s and KSC-75s.
The best I have ever heard though are my Etymotic hf2 IEMs. It's like having a direct connection to your brain. The hf2s are designed specifically for the iPhone but if you can find a cheap pair of ER-4s go for them - although they will be over your budget, you will not regret your purchase. -
i dont really like the koss earbuds. you cant really go wrong with one of the sony in ear headphones, or the sennheizer CX series.
i liked the V Moda bass freq but they died on me within a few months, seems like its a common problem they have. -

I've heard that the KSC75s and Porta-Pros are really good. The KSC75s are $17 on Amazon and the Porta-Pros are $40.

For that price I'd get nothing other than the Sennheiser PX100's(They'll blow your skullcandies out of the water sound quality wise). I've had them for years, I used them for 2 years, but don't anymore cause I have a more expensive better sounding set of headphones. But when I loan my nice ones I go back to the PX100's and they're still impressively nice. Like I said, I've used them for 2 years, thats shoving them into my bag on the bus twice a day, and they're still running strong.

i can also attest to the longevity of the px100s
much sturdier than they look, although the foam pads too loose after a while

Yeah, I want a pair myself. I have a pair of Grado SR60's, and gave my bro my old pair of Senn HD201's, but according to all of the reviews, the HD205's are great for the price. I may just pick up a pair, as though I absolutely love my Grado's, sometimes you need to both not be heard and block out noise, and the open-ear Grado's are far from that.
