Get Avira antivir (its free) from free-av.com.

    Remove Kaspersky. Install Avira.
Get Spybot Search and Destroy from spybotsd.info and install it as well.

Reboot, hit F8 just after BIOS post, then go into safe mode.

Run a scan with Avira from there.
    Do the same with Spybot.

If everything's good, then something is wrong with the shutdown process....do a checkdisk, check the allocated virtual memory and defrag the os.

Plus try to do a selective boot by Msconfig (run->msconfig->enter) and see if it shuts down faster.

If it does, then some of your background process probably is leaking memory.

Moreover, the shutdown should be fast as hell in safe mod. If it is, then it confirms that something in background is killing the process.
