    Does Asus offer the following:

    A MATTE 12 -14 inch laptop;
    No overheating;
    Quiet silent fan under normal usage (office, internet)
    a good keyboard
    decent speed and at least 160 GB HDD
    Light weight form factor
    decent speakers enough for a skype conversation
    webcam
    good keyboard

    Too much to ask ?

    Sounds like the ul30vt or ul30a if you dont need heavy 3D apps.

    The matte screen is gonna be hard to find though, I'm not sure asus makes laptops with those screens anymore...

    If you want matte, you may better look into Lenovo's or Dell's portfolio.

    Matte screens are rare today.

    Also, many Asus's laptops are known for overheating (not very serious though, but still), especially in consumer line.

    HP is known for overheating, ASUS is known for not advertising.

    Let's try and stay away from generalization as these claims are not true for the entire line of laptops from each manufacture.

    the only Asus laptops i can think of with matte screens are the B80A-B1 and the P30A
    trouble is, I don't think the B80 is being sold anymore, and I haven't seen any reviews on it:

    and the P30A isn't available in the States; don't know either fit your criteria though, both laptops are quite rare, it seems

    another possibility is to get a matte/anti-glare screen protector/filter; just be careful to get the right aspect ratio, not just the screen size
