Anything in the Windows scheduler that might be turning it back on?

Are we talking about the same thing? To my knowledge, no OS component should be able to resume the computer from hibernation, if we are talking about the same thing :)

By hibernation I mean writing the RAM to HDD and powering off the notebook.

If the computer does randomly resume from hibernation, it's something else; try disabling all "wake on..." events (LAN, WLAN, whatever) switches in the BIOS.

Otherwise, try updating the BIOS (or reverting to an older stable version if this happenned only after a BIOS update).

About the standby, I don't know...

that is exaclty what i mean, it writes the memory to the HD and shuts the laptop off completely, yet after a couple of minutes it turns back on, i don't care about the standby issue becasue anything could bring the laptop back, but hibernation ? this is new to me........this is very dangeourus actually, becasue i found it a couple of times powered up in the carrying case, and it was extremely hot of course !!!
i looked through all i could think of, no options in the bios, looked at the lan driver, and wake on lane is disabled, looked at the intel wireless utitility, and nothing, i am clueless on this, i did email asus about it, still no response yet..

    Update:

i narrowed down the problem to this, the laptop will awake immediatelty from hibernation when hooked-up to power. when on battery, it will remain in hibernation. i removed P4gear just in case, no difference. i removed the additional memory stick. still no difference, the problem is still there.....
