    Do you plan on playing any games at all? While they both are on the weak end for gaming, the 1st one would do better then the 2nd. But if you don't plan on gaming then the 2nd would be the better choice.

    well,, this will be my first laptop and I am a research assisstant at university.I am a mechanical engineer so i am going to use word,excell,autocad ... etc. However I like playing games as well..So I think first choice is better for me, is that true?

    You are correct, the first one has a better video card, if you like gaming. I would go with that one. If you didn't game I would go for the second one. :)

    I'd probably go with the 6400 myself, Core Duo will likely help you in AutoCAD, and while the 945 isn't a barnburner for gaming at least its Vista capable, and it'll run most things albeit poorly.
