i am considering two laptops, one has ATI 2400HD with dedicated 256mb memory and the other has Nvidia 8400GS with only 128mb memory. I saw benchmarks put these two in the same class, wondering if the ATI is then a better choice since it has 256mb memory?

Both are pretty the same. As you mentioned, I'd go with HD2400 because of it's more VRAM. But, that card is usually not capable to use all that memory, so it is pretty the same choice.

can you explain more about why it is unable to use all that memory? wouldn't screen resolution affect? like, if i were to run 1280x800 instead of 1024x768, i would need more memory?

HD2400 is much better than the Nvidia 128mb GS, the HD2400 even beats 8400gt.
However, what memory type is each of these? Gdd2 or Gdd3? It makes a big difference.

Because in new games such Crysis, Bioshock, U3 are that card is too weak to use all its memory. In fact, it is capable to use all, but there wouldn't be any noticable difference from more RAM. However, HD2400 is good for sometimes gaming and playing most of games on reasonable settings.
2400 XT is formally equal to 8400GT.
