    1) Yes, they are all in SP, and there are a lot. I'm sure you can find a list somewhere. They give you brownie points.
    2) Get all the stars to get an achievement. More brownie points.
    3) Prestige mode is reached after leveling up completely through the ranks. It resets ALL your MP stats, but gives you a special icon to let people know you are in prestige mode.

There are several different tiers in Spec Ops, each tier having about 4-5 missions. You need enough stars to unlock each tier.

If you view your MW2 stats via Steam, you can see a full list of all the achievements. They don't really do anything but give you bragging rights.

Special Ops points, as Rahul said, allow you to unlock new Special Ops missions (you start out with only a few available, and you have to get 5 stars to unlock the next few, and so on)

And Prestige Mode lets you start again from rank 1 once you get to rank 70, so you lose all your weapons and attachments and what not, but you keep your emblems and titles, and you get a special rank insignia to let others know that you've already gone through the levels (hence the prestige)
