Those specs are a little weak for GTA IV, have you tried dropping the specs to lowest?

Ya I know they seem kinda weak but i get a playable FPS atleast. I can still play the game but i wont be able to see anything but the sky, water and a slight transparency of my car. I can move around and stuff. Yes i have lowered it to the lowest settings and no difference.

How about reinstalling the game? Try to backup your save files before that.

Which drivers are you using? Use Dox's 181.22 for best performance in GTA IV.
Using these drivers doesn't cause any texture corruptions.

Could it be that actually the problem is another driver? Try to update everything in your PC. Other than that, have you tried some other games and see if they crash?

If nothing of the above helps, you may have more luck on the official GTAIV forums (if they exist, I don't know).
