I'm debating between the two (GE40 VS GE60):
    1. Is there a big difference between them?
    2. Is it possible to overclock the 760m so it'll have the same power as the 765m?

Tdp levels and clocks. Performance will equal the difference in clock which depends on the temps and boost.

    1 - clock speeds
2 - yes, but you can overclock 765m so it'll be a bit further ahead, 760m probably has bit more headroom due to it being clocked lower if the chips are the same.

the higher the clock speed is, the faster it runs.

760m has a default clock speed of 657 MHz vs 765m's 850 MHz clock speed.

I'm not sure how much this translates to real world performance, maybe 10%-15%

    Thanx.

Probably go for the GE60 as it has better GPU, CPU, screen and will be easier to upgrade for and mssd.
