Intel's new processor Merom is EM64T which emulates 64 bit. Is the AMD 64 the same (emulating 64bit) or is it a real 64 bit processor?

That's a long drawn out question if you want the real answer, but the quick and dirty one is that Both Intel and AMD's 64bit chips are on the same level of "64bit-ness"

I don't know exactly how intel's 64bit technology works. But for AMD the registers used for 32bit operation are expanded to accomodate 64bit instructions, and several other 64bit registers (that are none operational in 32bit mode) come online when running in 64bit.
i.e. AMD is a real 64bit CPU.
I have heard that AMD's 64bit approach is better than intel's, but I have no evidence to support that. PLUS I am not sure if the implimentation has changed with the new line of intel CPUs coming out soon. -
I had a chance to play around with xp64 edition on both intel and amd, and intel was a joke compared to AMD. That is why intel is releasing a new chip called merom and conroe(core duo2) that are real 64bit instead of emu.
Intel EM64T <-> AMD 64 (Turion) Real 64-Bit or Emu?
