Upgrading the memory and the harddrive does not void the warranty.
Asus like almost every laptop vendor allows the user to upgrade these items.
Upgrading the cpu would void the warranty in many conditions, but you are not doing that.

Make sure to get the correct memory for your system. Yours uses DDR2 Pc5300 or Pc6400 sodimm memory.

Make sure to shut the system off and unplug the battery before upgrading the memory/harddrive

actually, i have an Intel PM965 platform. would it be incorrect getting a 4GB DDR2 kit with 800Mhz(PC2-6.400)? I've got my eyes on the WD5000BEVT. is there a better drive available?

the i965 chipset automatically clocks the Pc6400 memory down to Pc5300 speeds. So it does not matter which memory you get. You can get either a 2 x 2Gb kit of Pc5300, or a 2 x 2GB kit of Pc6400. Both will work fine.

The WD5000BEVT is a great drive, but their is also an alternative, the ST9500325AS. Its the Seagate version of the 500gb 5400rpm drive. Performance wise the WD is better, but the seagate is cheaper.

Any brand is decent as long as it has a lifetime warranty.
I picked OCZ over Adata and G.Skill because their return policy is much better if a chip does go defective.
Personally I only use OCZ, Crucial and Corsair, but those are persoanl preferences.

If you install a 64 bit operating system your system should see anywhere between 3.5 and 4Gb of memory.

If the amount of memory recognized by the system is still 3gb afterwards, you may have to allow the system to see more memory.
Go to start and go to run
    type in MSCONFIG
    in the "boot.ini" tab,
there is a small button at the bottom labeled "advanced options"
in their you will see a small window appear
click the first box labeled "max mem"
    type in 4096
    and than restart your computer
after that it should see 4gb of memory.
