What will the notebook be used for? For basic tasks such as surfing the Internet or Word processing, it will suffice. Otherwise, get a new notebook.

It is NOT worth it because the notebook is completely outdated. And most of these compoents will not work, especially the CPU.

I wouldn't say that it's not worth it. If the laptop is not meeting your computing needs at the moment, and still wouldn't meet those needs if you upgraded it, then it would be a good time to look at a new laptop.
Too many people just throw out old computers, thinking them to be "outdated". It seems that no one considers how the heavy metals and other caustic wastes in a laptop/desktop are disposed of properly.
My parents still use a 12-year-old Pentium II desktop clocked at 250MHz. It has 384MB of RAM, a 10GB HDD, and a Radeon 9000 graphics card. They use Matlab, Quicken, MS Office, IE/Netscape, and other day-to-day applications, where others say they need a dual-core machine with a top-of-the-line graphics solution.

The best and most effectgive upgrade would be the ram. I'd say stick the most ram you can. You should be able to find out what ram and how much your laptop can take from google.
The next most important thing is the hard drive. I'm guessing your laptop came with a 4200rpm drive. a 7200rpm drive would really speed things up!
To speed up usb transfer rates a usb2 pcmcia card (assuming you have pcmcia) is a great way of upgrading to USB 2 from 1.0 or 1.1. I did this myself on my previous laptop which only had usb 1.1 as standard.
The cpu is doable but complicated, but if you can get a much better one for $45 i'd say go for it. Arctic Silver 5 thermal compund will help your cooling system to cope with the increased performance.
Honestly, you can buy a brand new and superior laptop for maybe $600? I'd say if you're spending maybe $200 or so on upgrades it'd be worth keeping your new machine. You could also put your old laptop drive in an external case and use it for backup or extra storage.
