It should but from what I can remember there were discussions in the forums a while back about the 4000+'s not being recognised by the BIOS on the zv6000/r4000 series.

Let me see if I can find that thread for you.

    EDIT: From Here...

Looks like the E4 stepping ADA4000DAA5BN will work but the one you are looking at doesnt.

    One more...

are there any other options for cpu upgrade? I cant find the ADA4000DAA5BN anywhere. Id like to spend under $100...

Also, is the ADA4000DAA5BN the same as ADA4000BNBOX???

    Yes, they are...
    http://products.amd.com/en-us/DesktopCPUDetail.aspx?id=92

ADA4000DAA5BN is the OEM part number while ADA4000BNBOX is the retail box number.

You might need to shop around to find one less than $100 from a reputable source. There seems to be one on ebay but for ~$140. A quick search turned up nothing elsewhere. You might want to consider a 3700+(E4 stepping). Its jut 200MHz slower and should be decent upgrade over the 3200+ or just upgrade the other components(RAM to 2GB & the HDD to a 7200rpm version) to the max and settle with the current 3200+ you have in there.

I found a ADA4000DAA5BN for 60 bucks. Should have it by tuesday. Ok, next question, it this as simple as pulling the old cpu out and popping in the new one? turning on the laptop or is there something I have to configure???

    Thanks for all the help.

Nope, that's it. Just make sure you have the latest BIOS flashed in and don't forget to remove the battery before cracking open the notebook.
