I'd lean towards the ZV5320US, but I'd prefer a zv5000z series with a proper Athlon 64. Still, that XP-M variant does have Enhanced Virus Protection, power consumption and power management are much better than the P4, the widescreen is much nicer than the 15" XGA (IMHO)... I'm guessing the ZV5360US has shared memory graphics? If so, that's a deal-killer right there. The 5320's GeForce 440 Go GPU, while weak, is still a vast improvement over shared memory GPUs.

256 RAM will not be enough. 512 is the minimum with WinXp.

As for GeForce 4 440 Go, it's not particularly weak. E.g. I get 7200+ in 3DMark2001 on my zv5000z (and this does not appear to be the limit). A "very good" by today's standars GPU 128MB Radeom 9700 usually benchmarks at 9700-11000. Not such a big of a deal, if you ask me! Plus, with OPenGL NVidia works smoother than the 64M Radeon 9600.

You'll get 1000-1500 3DMark2001 with shared GPU and that will be a big difference.
