    Hi all,
I have Cleve / sager w370st from Xotic pc.

So last night I was playing GTA 5 online and the laptop powered off without warning. The fan was not at 100% so I didn't feel that it was over heating.
    It won't Power on / won't start / won't boot.

The LED lights on the front panel are off no matter what i do. I was searching for similar problems online but other people always report at least some kind of blinking of the LEDs. Looks like dead motherboard, and repairs are probably not worth it, but maybe I can get some help. I do have an important project going on, and just copying the files from HDD won't do the justice.

    Things that I tried:
    - Unplugging battery and adapter and holding power button.
    - Starting on battery / adapter only.
    - starting with only 1/2 RAM sticks.
    - borrowed an MSI adapter.
    - disconnected CMOS battery for 10min.

    Any comments? Thanks

Your main board definitely sounds dead. Check with your reseller about repair options. Since you can't move the OS drive over to a different system, an RMA might be worth it if your project is important enough.

Hopefully it is still under warranty..
If not sorry to say but it does sound like a fried MB probably in the power supply circuitry, you should check your brick if that is okay just in case.
As far as your operating system It is possible to move it to a new machine I have done it a number of times with windows 10 it is even easier since it has so many drivers built in.
In many case for a regular drive you can put it in a usb drive and boot to it.
Another option is sysprep or probably even better Acronis backup, there is also a manual way bit more advanced.
Your system it is on a NVMe m.2 drive I assume so you can get usb adapters and see if you could boot to it that way or at least transfer/clone to another drive, or if you have another system that supports that NVMe disk type maybe an option as well.
The only pitfall would but the windows licenses which is digitally signed to your laptop and specifically your motherboard so if you put it in and entirely new machine you will probably have to purchase a new license.
But if you have it fixed with a new MB you may not have to.

Do the lights flicker at all as you remove and plug in the AC? Does the AC brick have a light on it? Does it go out when you plug it in? Does it make a clicking sound either way?

There are no lights on the adapter. The lights on front panel are usually always on when adapter is connected, however since yesterday they are off and don't flicker under any action. No clicking sound. I guess I should've better prepare for this - Ive been getting a random controlled self shutdowns once every few months, and couple USB ports were not working since over a year.

Windows 7 is installed on 2.5" ssd. The system was originally designed for windows 8 but I opted to go with win 7 which I got from school. It's not so much about keeping the windows but about 3 or 4 engineering programs that I have. It may take a bit of effort to set them up to previous configuration, and will they even work under win 10 at all... I am confident I can salvage all my files myself.

I asked couple local places to quote the repair for me, I wonder if anybody answers... Also saw some w370st and w370ss motherboards online but they were from different vendor and I don't feel like waiting week or 2 to get a Schrodinger's cat.

    Many thanks

MSI adapters do have a green light on them, clevos do typcially also have those. If the light on the adapter turns off while you plug it into the notebook = shorted board.
