    Yes, that will work.

    If the motherboard doesn't perform at PC2 6400 then that's OK as, it will just downclock to the maximum speed that it supports.
    You system will not be able to use all of the 4GB if you don't have a 64-bit operating system in use either but, it's to no disadvantage if you are still using a 32-bit system.

    Edit: I love how that old advertisement for your laptop measures the size of your harddrive in billions of bytes!
