If I just upgrade to Ultimate do I need to do a fresh clean install or can I just upgrade? This wouldn't effect recovery CDs would it (i.e. making them after the upgrade)?

You can upgrade. Though 1) it'd be better to clean install, and 2) I don't know why you would upgrade to Ultimate, esp. 32-bit.
