    I don't think it will check and not install based on 300mhz. If you look, Win7 has requirements, and you can look on youtube and see where people have installed it to machines FAR below the requirements just to see how it would run, and it ran decently oddly enough. I think it should work fine. And if you get your video codecs right, you should be able to use Media Center to play your videos. Other than that I'd really recommend Win7 Home Premium with the new Media Center.
