I have never install an upgrade OS before for a notebook.

If I were to install Window 7-vista upgrade on my FW390, do I still need to reinstall all the driver for the notebook too??
Or Does the upgrade just replace the OS, vista to window 7, while keeping all the old driver intact???

Run the Windows 7 upgrade advisor to know about incompatible drivers and programs. Usually Windows 7 updates all the device drivers (except some Sony devices and GPU driver).
