Start by looking in My Computer > Manage >Event Viewer > System Log and see if there are any system events at the time the computer wakes up. It can be something like a program checking for an update.

Then go into Device Manager and work through the devices, seeing which ones have power management options and then making sure "Allow this device to wake the computer" is not selected.

I had a similar problem that led to the laptop overheating when it was in my laptop case. You have to be careful with this problem, and I am not sure if there is a fix. I think its a conflict between sleep and hibernate (it is in Vaio Z running w/ Vista). After certain time, the laptop (even in sleep) attempts to go to hibernation. But before it can go, it has to wake up. Sometimes, its successful, sometimes its not.

So to fix this problem, I disabled automatic hibernation entirely. Now, if I want to hibernate, I manually hibernate by clicking on the START > Shut down option.

So my laptop goes to sleep when it times out, or when I close the lid, and stays in sleep.

Check your power settings, and make sure automatic hibernation is turned off. Otherwise, next time, you might fry your laptop when its in a case or enclosed.
