First of all, learn to write. That mess was painful to read, and it was difficult to understand what you meant. (If English isn't your first language, that's no excuse; it's my third language. Use a spell checker, at the very least!)

You need to use an XP full install CD, not an upgrade CD.

But, face it, XPs days are over. If you need to run something that only runs under XP, and won't run even in compatibility mode, you might want to consider using virtualization, like VMware or the Virtual PC "XP mode" that comes with Windows 7 Ultimate.
Internet Explorer 4/5/6 are frequently run under virtualization, when legacy business systems demand ActiveX controls that won't run under newer versions and OSes.

@arth1: 7 is the best but I'd take XP over Vista any day of the week.
@vio kkk: are you sure that you are booting off of the xp cd? you need to delete the partitions and format the disk. Don't try to install it on your Vista partition that would be a mess. As arth1 said, you'll need a full version CD not an upgrade version to make it work.
