'Better' is a relative word, but I could say this much that the second one has a more powerful processor and you will get a 6MB L2 cache with the second one compared to 3 MB L2 cache of the first one. From the specs you posted I can definitely say that the second one has a Blu-Ray reader but not sure whether it is a writer as well.

Thx brother .. yeah the second one is better in term of speed .. but you know .. the VGA card looks kinda old besides others on the new laptops .. also it's better to have both reader and recorder blu-ray .. i'm thinking of waiting a bit till the end of this year to see if sony will upgrade the FZ and include fast VGA cards and Blu-ray ( reader - writer )

BTW - 4gbs memory is a little overkill too unless you use 64-bit Ultimate, 32-bit will only use a little over 3gbs. And Ultimate is better for "entertaining", IMO.
