Heh, a bunch of little things that may or may not matter a lot to you depending on your needs. Please learn how to google or even read the official microsoft page on the features....Jeez.

Home has some bugs & costs a lot, Ultimate has more bugs & costs way too much considering all the decent open source software available with more recent release dates and much lower security threats.
Many forums can assist your learning, bugs are fixed quicker.
I have even gotten prompt answers from the guy & gals that really Wrote the program(s)

If by code, you mean the underlying structure that makes the OS work (ie the kernel) then yes, they are the same. The two do however have superficial differences as others have noted already. I know a reg hack will give you remote control (which was what I needed). You might encounter problems with joining domains - at least that was what differentiated XP Pro from Xp home. Not sure about Vista though. Bottom line: for everyday uses in a home/school environment, there will be no noticeable differences.
