In a few months, i'm planning on upgrading to 64-bit Vista Ultimate and 64-bit Ubuntu 8.04...Is it possible to first upgrade to 64-bit Ultimate, then boot my computer into the live 64-bit Ubuntu 8.04 disk and replace my 32-bit Ubuntu 7.10 partition with the 64-bit Ubuntu 8.04, and have GRUB still work...?

Yes it's possible (when you say "replace my 32-bit Ubuntu..." I guess you're talking about the deletion of the partition and the installation of 8.04)....at the end of the 8.04 installation process, GRUB will be reinstalled with up-to-date information about your partitions.
