So, Im on the last step to go to linux only, but I need know If I can use my OEM copy of XP in a VM.
Is this legal?

Well I don't know... I don't have the EULA that came with your machine... but I would think it would be legal... but it could trigger piracy-detection mechanisms (since the VM may look like a new machine) so you could have to call MS to sort it out or something.

i would think if the OEM version CAME WITH THE LAPTOP you should be fine from a legel standpoint... the OS is going on the PC it shipped w/
otherwise i kinda doubt it is legit.... -
I would say is fine, you own the OEM copy and have a key, you are just having a higher layer to execute your XP OS.

If it's a Dell branded disc, you'll have to deal with activation also, because obviously a VM emulates different hardware, so XP will "see" a different machine.

Its pre-activated, so I think its alright.

What does it matter if it's explicitly right when it's actually MORALLY right. It's a legal copy of windows on the same computer just as it should. Besides (and I maybe wrong) isn't it the BIOS serial # that's checked (?) to determine if it's the same machine?
