If so, do any precautions need to be made before re-installing the OS? A way to deactivate the code?

As long as you have a legit Product key you can install/reinstall as many times as you want. If it fails to activate online then just activate over the phone. Pretty simple.

I hope this is "legal" to talk about here.

My question is.. Can I download a copy of vista and then use my asus oem cd-key?

I want to have a "clean" vista disc.

First, I believe that if you have a code you go out and buy, it can be installed on any computer of yours, but only one computer at a time. Second, if you have an OEM key, I don't think you can go out and download a new CD, you have to get it from the OEM, I would think.

Take a look at the Clean Install Guide in my sig. It will walk you through all of this.

All of the Vista discs are the same (with a couple of exceptions). My feeling is that the disc itself is just the media, and you still need a license for it. In my guide, there are links to obtain the Vista discs for less than $10 from Microsoft, so the value is clearly not in the disc itself.
