No, the key will not work, you must use a Windows Anytime Upgrade key. http://www.winsupersite.com/win7/ff_wau.asp

If you have the Windows 7 media you got from the Ultimate Steal promotion, you can use that media to perform an in place upgrade that won't delete your files* or you can choose to perform a clean install using the media and use the Windows Easy Transfer program in Windows 7 to backup your user account, your documents and settings, and other files to either another computer on your network, or a external hard drive.

*in any case, it's a good idea to backup your files before even beginning to start a OS upgrade.

    Good Luck! :)

In my case, it works. I just tried it today. Bought from DigitalRiver and got the key as soon as I completed the payment. Then, I used the key to upgrade via windows anytime upgrade program.
    thanks anyways.

I bought a Professional upgrade key from Digital River also (£30 for students) and upgraded my OEM Home Premium using Anytime Upgrade and it worked fine. It certainly works. I had the Professional key installed on my old laptop before (until it died), and it simply required me to use the automated phone activation service.

Also, because the upgrade keys purchased on Digital River are retail, you can use it to upgrade any future laptop you purchase.

No you can use it on one PC or notebook. But if you replace your notebook with a new one and uninstall it from your old notebook you can use it in your new notebook. This is the difference between system builder or the OEM license you get when you buy a new notebook. Retailed can be reactivated on a different PC. Might have to do phone activation and explain what you did (just tell them old computer broke and you want to install on new one).
