As of now I have 2gb of ram with Vista Ultimate
I would like to "clean install" to Win.7 Ultimate with 4gb of ram.

Should I upgrade the ram 1st or install win7?
How should I go about it?

Perhaps someone with greater knowledge than I knows otherwise, but I don't see where it really matters one way or the other?

Doesn’t really make a difference. However, if you want to fully leverage your future 4GB RAM, be sure to install the x64 version (which will also work with 2GB RAM, but will be a little less efficient).

No its not a requirement, 64bit just can address more.

Either way should be fine, but i would personally install the RAM first.

Aye. Just upgrade the RAM now, and install Win7 when you get it. Your 32bit Vista will still work with all 4GB installed, it will just be limited to only being able to use 3.5GB or so. As soon as you install Win7 (my copy's not coming until November), you'll get access to the rest of it.
