1.) You can easily partition your drives with the built in disk management. Right click on computer and click manage, then disk management. Not sure what you mean by is it worth it, it's pretty simple to do if you have a reason to do it.

2.) You can do an in place upgrade, when your going through the windows install just chose upgrade instead of choosing a new partition to install it on. Can't say that there are any drawbacks to it.

3.) There's no such think as black edition developed by Microsoft, sounds like a custom distribution which is usually illegal.

Why do you want to upgrade to Ultimate--90 percent of the time there is no reason to

    1. Use Windows Disk Management (via sharp65's instructions) or GParted
    2. If you have an upgrade disk, then you can do an in-place upgrade that just adds features to your existing Vista install. It does this by default.
    3. I have no idea what a "Black Edition" is.

Black Edition is a private edition of Vista Ultimate. I'm almost 100% sure it is not approved by Microsoft. Black Edition includes a few added features, Hotfixes, sp1, gadgets, and a bunch of other crap like that.

p.s. You don't need the black edition because its garbage.

Sharp 65 has given you the answers

I'll second that - there is no "black edition".

While this is true, the OP hasn't asked whether he should upgade, but "how to".

However - I shall throw the question in, why do you want to "upgrade"? Is there a specific need for it?

For partitioning, Windows Disk Management isn't fully effective to our needs, IMHO. I found GParted to be awesome. Have used this to partition to laptop' and it worked like a charm. Very easy to follow as well.
