Do you need the features of Ultimate ? : Feature comparison.
There are couple of threads already discussing about Home Premium vs Business, take a look there. Ultimate = business + multimedia

Ultimate has all the features that Home Premium has. Ultimate is a combination of Vista Business (allows Remote computing and more networking stuff) and Home Premium (Media Center).

The most significant difference between the two is that Ultimate has the ability to back up the OS entirely. Acronis can do that same for $50, so typically I recommend Home Premium + Acronis instead of Ultimate.

But in any case, look at the features and see if there is something else you would actually get a good use out of.
