I had some problems with VMs as well when I was running Vista. I'm fairly certain you should focus your efforts on Vista's blocking IP communications (which is what Vista did to my XP VM install).

well to setup domain you need set static ip on your network card for virtual pc 2003 server you also need

to setup 2003 server as a domain control you need to run dcpromo to create the domain

you plan to you use you existed router as dhcp server for you lan and just run 2003 server in vmware you need to set static ip on you virtaul machine

run dhcp promo and make sure that bridge to you lan

why do you want to run 2003 server? anyways
