I get it every time I use my some of my Acer laptops... they are on factory installs...
I have the latest version of flash.

Hi,
if I remember correctly, then there is a flash based screen saver preinstalled (perhaps to increase spare battery sales). Ditch that.
Additionally, there are two flavours of flash installed on many systems:
The ActiveX control for IE and the plugin for Firefox, Opera etc.
Apart from removing the screensaver, I would uninstall all instances of flash player using the "progams" thingy in Control panel at first. Then use Adobe's Flash Uninstaller from here: http://kb2.adobe.com/cps/141/tn_14157.html in order to get rid of fossile versions that come with Windows (at least XP has such a fossile Flash player ActiveX aboard).
Reinstall the latest Flash version you want (IE or Mozilla/Opera).

What's causing this annoying pop up? "Please download the latest version of Flash Player"
