Will the 3940XM work properly with the 8770w? I know they were originally offered with a 3920 as the top option and I want to make sure the BIOS will recognize it and function fine with it. Currently have a quad with a dual pipe heatsink. Thanks!

Haven't tested it personally, but I see no reason why it won't work.

Works, I have it on my 8770W system.
I only use Coollaboratory Liquid Ultra as a thermal compound solution otherwise the FAN would go into FUBAR mode and CPU would thermal throttle constantly. With the liquid metal, it works perfectly. Temps in range of 70-75 in AIDAx64 100% Continuous load.
Not bad!
btw - the i7-3940XM was used only in the most expensive 8770W's and the laptop was manufactured to support the processor and its 55W of TDP from the start.
